These Terms of Use ("Terms") govern access to and use of dutro.ai and any successor website, together with the Dutro platform, its modules, dashboards, reports, and related documentation (collectively, the "Site"), provided by KPS Intelligence Private Limited and its affiliates (“KPS Intelligence”, “we”, “our”, or “us”). By accessing, browsing, or using the Site, you ("User," "you") acknowledge that you have read, understood, and agree to these Terms. KPS Intelligence may update these Terms at any time, and continued use of the Site following any change constitutes your acceptance of that change.

"Account" means the credentials issued to a User to access the Site.

"Content" means any data, documentation, questionnaire responses, files, or information submitted, uploaded, or entered by a User into the Site.

"Deliverables" means any assessment, score, report, gap analysis, control mapping, or other result generated by the Site, whether by automated processing, a compliance consultant's review, or both.

"Intellectual Property Rights" means patents, trademarks, trade dress, copyrights, database rights, trade secrets, and any other proprietary rights, registered or unregistered, anywhere in the world.

2. Eligibility

You must be at least 18 years of age and have the authority to bind the organization on whose behalf you are using the Site, where applicable. By using the Site, you represent that you meet these requirements and that your use complies with all applicable laws and regulations.

3. Limited License

KPS Intelligence grants you a revocable, non-exclusive, non-transferable, non-sublicensable, worldwide right to access and use the Site for its intended purpose. We may change, suspend, or discontinue any part of the Site, including any feature, module, or content, at any time, without notice or liability, and is under no obligation to provide maintenance or fix errors or defects. You are responsible for all activity occurring under your Account and agree to notify KPS Intelligence promptly of any unauthorized use.

4. Content

You are responsible for the accuracy and completeness of any Content you submit to the Site. Content remains your property; however, by submitting Content, you grant KPS intelligence a non-exclusive, worldwide license to use, process, and store it solely for the purpose of operating the Site, generating Deliverables, and providing services to you. You represent that you have the necessary rights to submit such Content and that doing so does not violate any law or third-party right.

5. Rules of Conduct

You agree not to: (a) use the Site for any unlawful purpose; (b) submit false, misleading, or fraudulent Content; (c) attempt to reverse engineer, decompile, or access the source code of the Site except to the limited extent permitted by law; (d) interfere with or disrupt the Site's infrastructure or security; or (e) attempt to gain unauthorized access to any account, data, or system connected to the Site. KPS Intelligence may restrict or terminate access for any User who violates these Terms.

6. Disclaimer

DUTRO IS A TECHNOLOGY PLATFORM AND DOES NOT PROVIDE LEGAL ADVICE, LEGAL OPINIONS, OR LEGAL REPRESENTATION. NO ATTORNEY-CLIENT RELATIONSHIP IS FORMED BY USING THIS WEBSITE OR THE PLATFORM. 

KPS INTELLIGENCE DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE USE, OR THAT ANY ASSESSMENT, SCORE, OR DELIVERABLE IS COMPLETE, CURRENT, OR GUARANTEES COMPLIANCE. DELIVERABLES REFLECT INFORMATION PROVIDED BY THE USER AT THE TIME OF PROCESSING AND MAY NOT CAPTURE LATER CHANGES IN LAW OR IN YOUR SYSTEMS. TO THE EXTENT PERMITTED BY LAW, DUTRO DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED; WHERE A JURISDICTION DISALLOWS SUCH EXCLUSIONS, THEY MAY NOT APPLY TO YOU.

ACHIEVING AND MAINTAINING COMPLIANCE WITH ANY PRIVACY LAW REMAINS THE SOLE RESPONSIBILITY OF THE USER. DUTRO'S PLATFORM AND CONSULTANTS SUPPORT THAT EFFORT, BUT DO NOT ASSUME IT, AND DO NOT GUARANTEE ANY PARTICULAR REGULATORY, AUDIT, OR LITIGATION OUTCOME.

7. Intellectual Property

KPS Intelligence and its licensors own all Intellectual Property Rights in the Site, its underlying software, models, frameworks, and all content made available through it, excluding User Content. No rights are granted to you other than as expressly stated in these Terms. The Dutro name, logo, and related marks are the property of KPS Intelligence and may not be used without prior written consent.

8. Your Account

You are responsible for maintaining the confidentiality of your Account credentials and for all activity occurring under your Account. Notify KPS Intelligence immediately if you suspect unauthorized use at support@dutro.ai. 

9. Privacy

Use of the Site is governed by the Privacy Notice, which describes how KPS intelligence collects, uses, and safeguards information submitted through the Site. By using the Site, you acknowledge the terms of the Privacy Notice.

10. Indemnity

You agree to defend, indemnify, and hold harmless Dutro and its affiliates, officers, and employees from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your Content, your use of the Site, or your breach of these Terms.

11. Relationship

Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between you and Dutro.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of India, and any dispute arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Delhi.

13. General

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect. No waiver of any provision will be deemed a continuing waiver of any other provision. These Terms, together with the Privacy Notice, constitute the entire agreement between you and KPS Intelligence regarding use of the Site and supersede all prior understandings on the subject.
